Pearl Investment Management Ltd., a wholly owned subsidiary of Credit Suisse, Zurich, acts as the Investment Manager. Such management shall include, but shall not be limited to, selecting Investment Vehicles to receive allocation of the Subsidiaries' assets for purposes of making long-term private equity investments.

Merchant Capital, Inc., Delaware/USA, indirect subsidiary of CSFB, a Bank which is wholly owned by Credit Suisse, Zurich, acts as the Investment Advisor.
